The SEC may require that you submit an amended filing, and that you include Revision tags in the EDGAR HTML and ASCII documents to mark the areas that changed. This article describes how to use the Wdesk SEC Revision tool to apply redline tags to the document.

About Redline Tags

Redline tags (<R> and </R> tags) may also be referred to as Revision tags. In an EDGAR HTML filing, you can use them to identify revisions in a way that is visible to the SEC but not to the public viewing your HTML documents. These tags are frequently used in amendments and proxy statements.

R tags are used to indicate changes in language, not formatting changes such as making a word bold or centering a paragraph. In addition, you enclose an entire paragraph or table that contains changes within the opening and closing tags, rather than mark individual words, phrases, or table cells.

When the SEC reviews your amended EDGAR filing, they view it in plain text mode to easily identify the tags indicating the revised material. Before they place the document into the EDGAR database for public use, they replace each R tag with a blank space, which is not visible when viewing in a browser but remains present in the HTML code.

Applying Redline Tags

The following steps describe how to use the Wdesk SEC revision feature to mark your filing for revisions.

IMPORTANT: This article does not intend to address how to comply with the SEC rules for using R tags. Please consult the EDGAR Filer Manual and other SEC resources to determine the correct way to use the tags in your own filings.

  1. The SEC Revision tool is not enabled by default, so if you cannot see it in the toolbar, do the following: Choose File > Document Properties. On the Advanced tab, select the Allow SEC Revisions (R-tag) check box, and click Apply Changes.

  2. With the SEC Revision tool, you can select paragraphs or tables to indicate changes in them, or you can select a blank space to indicate where a paragraph or table was deleted.

    • To add tags, select the paragraph or table that contains language revisions, and then click the SEC Revision tool (you can also use the keyboard shortcut CTRL+ALT+A).

    • The selected text is highlighted in magenta.

    • If an area containing multiple contiguous paragraphs has changed, you can select and tag the entire text range at once.

    • To adjust the selection, you will need to remove the tags first, and then add them to the correct selection. To remove the redline tags, select the highlighted text and click the SEC Revision tool again.

    • To add redline tags to text or a table that was deleted, select a blank space where that material existed, and highlight the space with the SEC Revision tool.

  3. As always, share changes as you go, including when you complete the process.

Redline Tag Display

After you share changes to create a revision on the History tab, here’s how redline tags display depending on where you view them.

  • Viewer: Revisions appear highlighted in magenta, as they do in Wdesk. In addition, when you choose Create Review from the Actions menu, these reviews show the highlighting.

  • Blacklines: Highlighted revisions appear in addition to the actual changes that were made.

  • EDGAR documents: Revisions are not visible when you open the EDGAR documents in a browser, but you can preview revisions by going to the File tab and selected EDGAR from the Preview option. Additionally, since the <R> and </R> tags are included in the HTML, you can open the documents in a text editor to view the tags.

  • Saving to PDF: When you save the Wdesk document to a PDF file, you can choose whether to include the revision highlighting.

  • Saving to Word: Revisions are not highlighted in Word documents that you save from Wdesk.

  • Exporting and importing: Does not remove R tags. If you use the revised document in a roll-forward document, you will need to manually remove the R tags.
